If you hold multiple, validly licensed copies, you may not use, copy, or install the Software Product on any smartphone with more than the number of user permitted by license, or permit the use, copying, or installation by more users than the number permitted by license.\u00a0<\/p>\n<p>You may not decompile, \u2018reverse-engineer\u2019, disassemble, or otherwise attempt to derive the source code for the Software Product.\u00a0<\/p>\n<h3 id=\"restrictions-on-alteration\">Restrictions on Alteration<\/h3>\n<p>You may not modify the Software Product or create any derivative work of the Software Product or its accompanying documentation. Derivative works include but are not limited to translations. You may not alter any files or libraries in any portion of the Software Product. You may not reproduce the database portion.<\/p>\n<h3 id=\"restrictions-on-copying\">Restrictions on Copying<\/h3>\n<p>You may not copy any part of the Software Product except to the extent that licensed use inherently demands the creation of a temporary copy stored in your smartphone memory and not permanently affixed on storage medium.\u00a0<\/p>\n<h3 id=\"limited-software-product-warranty\">Limited Software Product Warranty<\/h3>\n<p>For an unlimited period from the date that you download the Software Product and paying the license monthly fee, as applicable, inSitu warrants that when properly installed and used under normal conditions, the Software Product will perform substantially as advertised. inSitu makes no warranties on specific behavior of the Software Product in a specific smartphone device or browser.<\/p>\n<h3 id=\"disclaimer-of-warranties-and-limitation-of-liability\">Disclaimer of Warranties and Limitation of Liability<\/h3>\n<p>UNLESS OTHERWISE EXPLICITLY AGREED TO IN WRITING BY inSitu, inSitu MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OTHER THAN AS SET FORTH IN THIS AGREEMENT OR IN THE LIMITED WARRANTY DOCUMENTS PROVIDED WITH THE SOFTWARE PRODUCT.\u00a0<\/p>\n<p>inSitu makes no warranty that the Software Product will meet your requirements or operate under your specific conditions of use. inSitu makes no warranty that operation of the Software Product will be secure, error free, or free from interruption. YOU MUST DETERMINE WHETHER THE SOFTWARE PRODUCT SUFFICIENTLY MEETS YOUR REQUIREMENTS FOR SECURITY AND UNINTERRUPTABILITY. YOU BEAR SOLE RESPONSIBILITY AND ALL LIABILITY FOR ANY LOSS INCURRED DUE TO FAILURE OF THE SOFTWARE PRODUCT TO MEET YOUR REQUIREMENTS. inSitu WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE FOR THE LOSS OF DATA ON ANY COMPUTER, SMARTPHONE, TABLET OR INFORMATION STORAGE DEVICE.\u00a0<\/p>\n<p>UNDER NO CIRCUMSTANCES SHALL inSitu, ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY OTHER PARTY FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND (INCLUDING LOST REVENUES OR PROFITS OR LOSS OF BUSINESS) RESULTING FROM THIS AGREEMENT, OR FROM THE FURNISHING, PERFORMANCE, INSTALLATION, OR USE OF THE SOFTWARE PRODUCT, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF WARRANTY, OR THE NEGLIGENCE OF inSitu OR ANY OTHER PARTY, EVEN IF inSitu IS ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT THAT THE APPLICABLE JURISDICTION LIMITS inSitu\u2019S ABILITY TO DISCLAIM ANY IMPLIED WARRANTIES, THIS DISCLAIMER SHALL BE EFFECTIVE TO THE MAXIMUM EXTENT PERMITTED.\u00a0<\/p>\n<h3 id=\"limitation-of-remedies-and-damages\">Limitation of Remedies and Damages<\/h3>\n<p>Your remedy for a breach of this Agreement or of any warranty included in this Agreement is the correction or replacement of the Software Product. Selection of whether to correct or replace shall be solely at the discretion of inSitu. inSitu reserves the right to substitute a functionally equivalent copy of the Software Product as a replacement. If inSitu is unable to provide a replacement or substitute Software Product or corrections to the Software Product, your sole alternate remedy shall be a refund of the current monthly fee for the Software Product.\u00a0<\/p>\n<p>Any claim must be made within the applicable warranty period. All warranties cover only defects arising under normal use and do not include malfunctions or failure resulting from misuse, abuse, neglect, alteration, problems with electrical power, acts of nature, unusual temperatures or humidity, improper installation, or damage determined by inSitu to have been caused by you. All limited warranties on the Software Product are granted only to you and are non-transferable. You agree to indemnify and hold inSitu harmless from all claims, judgments, liabilities, expenses, or costs arising from your breach of this Agreement and\/or acts or omissions.\u00a0<\/p>\n<h3 id=\"refund-policy\">Refund policy<\/h3>\n<p>If you are not satisfied with the product that you have purchased from us, you can get your money back no questions asked. Here are the terms:<\/p>\n<ul>\n<li>If you are using the product and you modify the subscription the application will automatically calculate a prorated refund on the licenses not used for the remaining of the period.<\/li>\n<li>If you cancel your subscription and you were not using the Software Product in the current and previous billing cycles you can get refunded up to 2 months for the month-to-month subscription. For the yearly subscription you can claim the non-used remaining time of the year until your billing cycle and up to two months prior if you were not using the application, however the months that were used will be charged as if they were month-to-month subscription.<\/li>\n<li>For any type of cancellation with a refund a 3% transaction fee will be deducted.<\/li>\n<\/ul>\n<p>THIS REFUND POLICY APPLIES ONLY TO SUBSCRIPTIONS PURCHASED IN THE WEBSITE.<\/p>\n<p>If you have any additional questions or would like to request a refund, feel free to contact us.<\/p>\n<section id=\"service-level-agreement\" aria-labelledby=\"sla-heading\">\n<h2 id=\"sla-heading\">Service Level Agreement (SLA)<\/h2>\n<p><strong>Effective August 10, 2026<\/strong><\/p>\n<h3 id=\"1-scope-and-eligibility\">1. Scope and eligibility<\/h3>\n<p>This Service Level Agreement applies to paid production subscriptions to inSitu Sales. It covers the hosted services included in your subscription: account sign-in; creating and saving orders, invoices, and payment records; synchronization between supported mobile applications and inSitu servers; and B2B storefront ordering, where subscribed. Recording a payment does not include authorization or settlement by an external payment processor. Free trials, free plans, beta or preview features, test environments, and services outside your subscription are excluded. A separately signed agreement expressly providing different service levels takes precedence for those services.<\/p>\n<h3 id=\"2-monthly-availability\">2. Monthly availability<\/h3>\n<p>inSitu will provide 99.9% monthly availability for the covered hosted services, subject to the exclusions below. Availability is measured around the clock for each affected customer and covered service in each calendar month, using Coordinated Universal Time (UTC). Availability equals 100 multiplied by (eligible service minutes minus qualifying downtime minutes), divided by eligible service minutes. Eligible service minutes are the minutes during which the paid subscription was active and this SLA applied in the month, less excluded downtime minutes.<\/p>\n<p>Qualifying downtime occurs when a failure attributable to inSitu prevents the affected customer from completing a covered core function, including when persistent server errors or timeouts make that function unusable. The website homepage being available does not, by itself, establish availability of the covered services. An outage affecting one customer may qualify even when other customers are unaffected. The same minute is counted only once for the same covered service. Continued use of offline mobile features does not eliminate qualifying downtime of the hosted synchronization service.<\/p>\n<p>inSitu determines the duration and scope of an incident using its monitoring and service logs, together with reasonably available customer evidence. Customers should report issues promptly and provide the affected company, function, approximate times and time zone, and relevant error messages. Availability is not a guarantee that every feature will always be error-free or that every request will complete within a particular time.<\/p>\n<h3 id=\"3-support-coverage-and-response-targets\">3. Support coverage and response targets<\/h3>\n<p><strong>Business hours: Monday\u2013Friday, 8:00 a.m.\u20137:00 p.m. Eastern Time (New York; EST\/EDT), excluding published holidays. After business hours, support is available via chat only.<\/strong> After-hours chat assistance is provided on a best-effort basis, without a guaranteed response time. Initial-response and incident-update targets accrue only during business hours; requests received outside business hours enter the applicable response clock when business hours resume.<\/p>\n<p>During business hours, contact <a href=\"mailto:support@insitusales.com\">support@insitusales.com<\/a>, use the <a href=\"https:\/\/insitusales.zendesk.com\/\" target=\"_blank\" rel=\"noopener\">Help Center<\/a>, or use the chat channel available through the inSitu website or application. Support is available in English and Spanish. The following are targets for an initial human response, rather than an automated acknowledgment:<\/p>\n<div tabindex=\"0\" role=\"region\" aria-label=\"Scrollable service level table\" class=\"legal-table-wrap\"><table aria-label=\"Support initial response targets\">\n<thead><tr><th scope=\"col\">Priority<\/th><th scope=\"col\">Description<\/th><th scope=\"col\">Initial response target<\/th><\/tr><\/thead>\n<tbody>\n<tr><th scope=\"row\">Critical<\/th><td>A covered core function is unavailable and sales or delivery operations are blocked, with no reasonable workaround.<\/td><td>2 business hours<\/td><\/tr>\n<tr><th scope=\"row\">High<\/th><td>An important function is materially impaired, but a reasonable workaround exists.<\/td><td>8 business hours<\/td><\/tr>\n<tr><th scope=\"row\">Normal<\/th><td>An isolated defect or issue with limited operational impact.<\/td><td>2 business days<\/td><\/tr>\n<tr><th scope=\"row\">General \/ minor<\/th><td>How-to questions, general assistance, or minor issues.<\/td><td>3 business days<\/td><\/tr>\n<\/tbody><\/table><\/div>\n<p>inSitu will use commercially reasonable efforts to meet these targets, assess priority based on actual business impact, investigate reported incidents, and restore affected services, including through a reasonable workaround. Response targets are not guaranteed resolution deadlines. Missing a support-response or incident-update target does not, by itself, create a right to service credits.<\/p>\n<h3 id=\"4-incident-communication\">4. Incident communication<\/h3>\n<p>For confirmed critical incidents, inSitu will use commercially reasonable efforts to provide updates through the support ticket, email, or chat at least every four business hours while the incident remains unresolved. The support team will escalate incidents internally as appropriate. After-hours communication is via chat only and remains subject to best-effort coverage.<\/p>\n<h3 id=\"5-maintenance-and-exclusions\">5. Maintenance and exclusions<\/h3>\n<p>inSitu may perform scheduled maintenance and will provide at least 24 hours\u2019 advance notice where reasonably practicable through the application, website, email, or support channels. Disruptive maintenance will be scheduled outside business hours where reasonably practicable. Up to four hours of announced scheduled-maintenance downtime per calendar month are excluded from the availability calculation; excess scheduled-maintenance downtime counts. Emergency maintenance may be necessary without advance notice, with notice provided as soon as reasonably practicable. Emergency-maintenance downtime counts unless another exclusion below applies.<\/p>\n<p>Downtime is excluded only to the extent caused by: customer internet or mobile connectivity; customer equipment, unsupported devices or software versions, or customer configuration; misuse or unauthorized changes; a suspension permitted under the Agreement; failures of external accounting, ERP, payment, or other third-party services outside inSitu\u2019s control; or force majeure events beyond inSitu\u2019s reasonable control. Failures in inSitu\u2019s own integration code are not excluded merely because an integration is involved. An outage of inSitu\u2019s hosting provider is not automatically excluded merely because that provider is a third party.<\/p>\n<h3 id=\"6-service-credits\">6. Service credits<\/h3>\n<p>If monthly availability falls below 99.9%, an eligible customer may claim a service credit calculated as a percentage of the subscription fee attributable to the affected covered service for that month:<\/p>\n<div tabindex=\"0\" role=\"region\" aria-label=\"Scrollable service level table\" class=\"legal-table-wrap\"><table aria-label=\"Monthly availability service credits\">\n<thead><tr><th scope=\"col\">Monthly availability<\/th><th scope=\"col\">Service credit<\/th><\/tr><\/thead>\n<tbody>\n<tr><td>99.0% to less than 99.9%<\/td><td>5%<\/td><\/tr>\n<tr><td>95.0% to less than 99.0%<\/td><td>10%<\/td><\/tr>\n<tr><td>Less than 95.0%<\/td><td>25%<\/td><\/tr>\n<\/tbody><\/table><\/div>\n<p>Only the single applicable credit tier applies to each affected service for the month; incident credits do not stack. Total credits for a month cannot exceed 25% of the fees attributable to the affected services for that month. Taxes, implementation, training, professional services, and unrelated services are excluded from the credit basis. Annual prepaid subscriptions use one-twelfth of the applicable annual subscription fee. If a subscription bundles services without separate prices, inSitu will reasonably allocate the subscription fee to the affected services.<\/p>\n<p>To claim a credit, submit a request to <a href=\"mailto:support@insitusales.com\">support@insitusales.com<\/a> within 15 calendar days after the end of the affected month, identifying the account, affected services, incident dates and times, and reasonably available supporting evidence. inSitu will review the claim against service records and customer evidence. Approved credits are applied to future subscription invoices for the affected account, are nontransferable, and have no cash or refund value. The account must be current on undisputed subscription payments to receive a credit.<\/p>\n<h3 id=\"7-relationship-to-the-agreement\">7. Relationship to the Agreement<\/h3>\n<p>This SLA supplements the End User License Agreement. Its express availability commitment and service-credit provisions prevail over conflicting warranty disclaimers and remedy provisions solely with respect to failure to meet that availability commitment. To the extent permitted by applicable law, the credits described here are the customer\u2019s exclusive contractual remedy for that failure; they do not limit rights or remedies that cannot lawfully be limited. Separately applicable cancellation and refund rights remain governed by the Agreement, with no duplicate recovery of the same fees for the same availability failure. Other provisions of the Agreement remain in effect.<\/p>\n<\/section>\n<h3 id=\"governing-law-jurisdiction-and-costs\">Governing Law, Jurisdiction and Costs<\/h3>\n<p>This Agreement is governed by the laws of California, without regard to California\u2019s conflict or choice of law provisions.\u00a0<\/p>\n<h3 id=\"severability\">Severability<\/h3>\n<p>If any provision of this Agreement shall be held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
